2. Platform Usage & License

Subject to your compliance with these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable right to access and use the Services strictly for your internal business operations.

A. System Restrictions

• You shall not license, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Services.
• You shall not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Services.
• You shall not access the Services in order to build a similar or competitive product or service.

3. Account Responsibilities

You are entirely responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.

• You must immediately notify us of any unauthorized use, or suspected unauthorized use, of your account.
• We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
• Administrators are responsible for managing the permissions, pipelines, and signals created within their organizational workspace.

4. Intellectual Property & Data

We make a clear distinction between the infrastructure we provide and the data you process through it.

5. Acceptable Use Policy

You agree not to use the Services to collect, upload, transmit, display, or distribute any User Content that:

• Violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.
• Is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, or otherwise objectionable.
• Is in violation of any law, regulation, or obligations or restrictions imposed by any third party.
• Constitutes malicious code, viruses, trojan horses, or any other harmful code designed to disrupt the operation of the system.

6. Payment & Subscriptions

Certain aspects of the Services may be provided for a fee or other charge. If you elect to use paid aspects of the Services, you agree to the pricing and payment terms corresponding to your selected tier.

• Invoicing & Taxes: You agree to pay all applicable taxes in connection with your use of the Services. Payments are due in advance on a recurring schedule (monthly or annually) depending on your contract.
• Overage Fees: Usage exceeding the limits of your contracted tier (such as execution volume or API calls) may be subject to automated overage billing.
• No Refunds: Except as explicitly stated otherwise, all payments are non-refundable.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall Avigrah AI, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Services.

Under no circumstances will we be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Services or your account.

8. Termination

We may suspend or terminate your rights to use the Services at any time for any reason at our sole discretion, including for any use of the Services in violation of these Terms.

Upon termination of your rights under these Terms, your Account and right to access and use the Services will terminate immediately. You understand that any termination of your Account may involve deletion of your Customer Data associated with your Account from our live databases. We will not have any liability whatsoever to you for any termination of your rights under these Terms.
